These Terms of Service ("Terms") constitute a legally binding agreement between you and Pygsite ("Company," "we," "us," or "our") governing your access to and use of our construction management platform, website, and all related services (collectively, the "Services"). By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms in their entirety, you are not authorized to access or use our Services.
1. Acceptance of Terms
By creating an account, accessing, or using Pygsite, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Services, including organizations, project managers, contractors, and team members.
If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Pygsite provides a cloud-based construction management platform that enables users to:
- Create and manage construction projects
- Track tasks, schedules, and project progress
- Collaborate with team members and subcontractors
- Upload and manage photos, documents, and files
- Generate reports and daily logs
- Communicate with project stakeholders
We reserve the right, at our sole discretion, to modify, suspend, discontinue, or terminate any part or all of our Services at any time, temporarily or permanently, with or without notice to you. We may also impose limits on certain features or restrict your access to parts or all of the Services without liability. You agree that we will not be liable to you or any third party for any modification, suspension, discontinuation, or termination of the Services or any features thereof.
3. User Accounts and Registration
To access certain features of our Services, you must create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
You are solely responsible for maintaining the confidentiality and security of your account credentials. You may not share your account with others, allow others to access your account, or use another person's account. We reserve the right to suspend, terminate, or refuse service to any account at any time, for any reason or no reason, at our sole discretion, including but not limited to violations of these Terms, suspected fraudulent activity, or conduct we deem harmful to our Services or other users.
4. Acceptable Use Policy
You agree not to use our Services to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit viruses, malware, or other harmful code
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any systems or data
- Impersonate another person or entity
- Harass, threaten, or abuse other users
- Upload illegal, offensive, or inappropriate content
- Use the Services for any fraudulent or unlawful purpose
- Scrape, spider, or crawl the Services without permission
- Reverse engineer or attempt to extract source code
- Remove or modify any proprietary notices or labels
We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting to law enforcement.
5. Intellectual Property Rights
Our Rights
The Services, including all content, features, and functionality, are owned by Pygsite and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
Your Content
You retain ownership of content you upload to our Services ("User Content"), including project data, photos, documents, and communications. By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your User Content in any form, media, or technology, whether now known or hereafter developed, for the purposes of providing, operating, promoting, improving, and developing our Services and related products.
You represent, warrant, and covenant that: (a) you own or have all necessary rights, licenses, and permissions to grant the foregoing license; (b) your User Content does not and will not infringe, misappropriate, or violate any third-party rights, including intellectual property, privacy, or publicity rights; and (c) your User Content complies with all applicable laws and these Terms. You agree to indemnify us for any breach of these representations and warranties.
6. Payment and Billing
Certain features of our Services may require payment. By subscribing to a paid plan, you agree to:
- Pay all fees associated with your selected plan
- Provide accurate and current billing information
- Authorize us to charge your payment method
- Pay any applicable taxes
Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law or at our sole discretion. Your subscription will automatically renew at the then-current rate unless you cancel before the renewal date. You authorize us to charge your payment method for all applicable fees. We reserve the right to change our pricing, billing methods, and payment terms at any time with or without notice. Price changes will apply to subsequent billing periods. All fees are exclusive of taxes, and you are responsible for all applicable taxes. Late payments may result in suspension or termination of your account and access to the Services.
7. Disclaimer and Limitation of Liability
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH USE OF THE SERVICES IS AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM USE OF THE SERVICES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PYGSITE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless Pygsite, its affiliates, and their respective officers, directors, employees, agents, representatives, partners, suppliers, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, judgments, damages, losses, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (f) any dispute between you and another user. This indemnification obligation will survive termination of these Terms and your use of the Services.
8. Data Protection and Privacy
We are committed to protecting your privacy and data. Our collection, use, and disclosure of your information is governed by our Privacy Policy. By using our Services, you consent to our privacy practices as described in the Privacy Policy.
You are responsible for ensuring that your use of the Services complies with applicable data protection laws, including obtaining necessary consents for collecting and processing personal data of your team members and project participants.
9. Termination
You may terminate your account at any time by following our cancellation procedures or contacting us. We may suspend, restrict, or terminate your access to the Services immediately, at any time, for any reason or no reason, with or without prior notice, at our sole discretion. Grounds for termination include, but are not limited to: (a) violation of these Terms or our policies; (b) fraudulent, abusive, or illegal activity; (c) requests by law enforcement or government agencies; (d) unexpected technical or security issues; (e) extended periods of inactivity; or (f) non-payment of fees.
Upon termination for any reason: (a) your right to access and use the Services immediately ceases; (b) we may immediately deactivate or delete your account and all related information and files; (c) you remain liable for all fees incurred prior to termination; and (d) we will have no liability to you for any termination of access to the Services or deletion of your data.
You are solely responsible for exporting your data before termination. We are not obligated to retain, provide, or return any User Content after termination. Certain provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.
10. Changes to These Terms
We reserve the right to modify, update, or replace these Terms at any time, at our sole discretion, with or without notice to you. Changes will be effective immediately upon posting the updated Terms on our website with a revised "Last updated" date. We may, but are not obligated to, notify you of changes via email or through the Services.
Your continued access to or use of the Services after any changes to these Terms constitutes your binding acceptance of the modified Terms. If you do not agree to the modified Terms, you must immediately stop using the Services and terminate your account. It is your responsibility to review these Terms periodically to stay informed of any updates. The current version of the Terms will always be available on our website.
11. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to the personal jurisdiction and venue of such courts.
Arbitration Agreement
PLEASE READ THIS ARBITRATION AGREEMENT CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.
You and Pygsite agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be settled by binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). You and Pygsite agree that the arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all Disputes. The arbitrator's decision will be final and binding, except for a limited right of appeal under the Federal Arbitration Act.
Class Action Waiver
YOU AND PYGSITE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. You and Pygsite expressly waive any right to file a class action or seek relief on a class basis. Unless both you and Pygsite agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or collective proceeding.
12. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pygsite regarding the Services.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control.
